ITF Event Terms & Conditions

1. Definitions

  • “Agreement” shall mean these booking terms and conditions.
  • “Attendee(s)” shall include Delegates, Exhibitors and Speakers.
  •  “Delegate(s)” shall mean a party attending the Event.
  • “Exhibitor(s)” shall mean a party renting exhibition space for the purposes of exhibiting their products and/or services at the Event.
  • “ITF” shall mean The Industry Technology Facilitator, a not for profit organisation having its registered offices at The Enterprise Centre, Aberdeen Science & Energy Park, Exploration Drive, Aberdeen, AB23 8GX.
  • “ITF Member(s)” shall mean a member company whose admission to ITF is approved by the ITF board of directors.
  • “Event” shall mean any event/ conference/ workshop/ exhibition organised by ITF.
  • “Speaker(s)” shall mean those individuals that have agreed to deliver a speech/ presentation at the Event.

2.  Booking Terms  

2.1  Orders placed with ITF shall constitute a contract when the Attendee books through ITF’s online facilities and has been confirmed by ITF.

For Delegates only: by submitting a booking form, the Delegate is placing an order to attend the Showcase and the booking fee (if applicable) must be paid in full at the time of booking. The Delegate will receive an automated email to confirm the order and ITF will issue a VAT receipt separately.

For Exhibitors only: by submitting a booking form, the Exhibitor is placing a request to reserve an exhibition space at the Showcase. The Exhibitor will receive an automated email to confirm receipt of the request and ITF will confirm the availability within 72 hours. Exhibition spaces will be allocated on a first-come first-served basis. If an exhibition space is available, ITF will issue a payment link to the Exhibitor and the booking fee must be paid in full within 48 hours, otherwise ITF reserves the right to re-allocate exhibition spaces and/or cancel the order. Once payment has been received, the Exhibitor will receive an automated email to confirm the order and ITF will issue a VAT receipt separately.

Booking fees if applicable shall be as per Event as detailed on the Event’s applicable booking form and shall vary dependent on each specific Event organised by ITF.

2.2 By placing an order, Attendees acknowledge they have read and agree to ITF’s Privacy Policy.

2.3 Attendees placing an order shall be deemed to have authority to do so from the person, firm or company on whose behalf they are acting or purporting to act.

2.4 ITF reserves the right to decline any order that in its sole belief is inappropriate, may cause offence or harm, or is not relevant to the event and ITF shall not be obliged to disclose the reasons for refusal.

3.  Amendments & Cancellation

3.1  No amendments to this Agreement shall be effective unless evidenced in writing and signed by the parties to this Agreement.

3.2 Should an Exhibitor wish to cancel the order, ITF shall use its reasonable endeavours to re-sell the exhibition space. If this is possible, a handling fee of 25% of the value of the order shall be levied. If the exhibition space cannot be re-sold, the Exhibitor shall remain liable for the payment of the full booking fee.

3.3 Delegate bookings are non-refundable.

3.4 ITF reserves the right to change the time, date, venue, content or Speakers at the Event at any time. ITF will use reasonable endeavours to notify Attendees of changes made to the timing, date and venue of the Event.

3.5 ITF reserves the right to postpone or cancel the Event. Where ITF is required to postpone the Event, ITF will honour the booking for the rescheduled date. Where ITF exercises the right of cancellation, ITF will refund the booking fee only if applicable. ITF shall not accept liability for any consequential loss and shall have no liability to reimburse travel or accommodation expenses or any other costs incurred by the Attendee following such cancellation.

3.6  Any typographical, clerical or other error or omission in any correspondence, booking documentation or other information issued by ITF shall be subject to correction without any liability whatsoever on the part of ITF.

4. Force Majeure

4.1 If the performance of the Agreement by ITF shall be prevented by any circumstances beyond the control of ITF including (but without prejudice to the generality of the foregoing): war, industrial disputes, strikes, lockouts, riots, fire, storm, Act of God, accidents, non-availability or shortage of materials or labour, any statute, rule, by law, order or requisition made or issued by an Government or Government Department, local or duly constituted authority, then ITF shall have the right to be discharged from further performance of and the liability under the contract. If ITF exercises such right, the Attendee shall thereupon pay the full booking fee.

5.   Limitation of Liability

5.1  ITF shall not under any circumstances be liable to Attendees in contract, tort (including negligence) or otherwise for loss of revenues or opportunities, goodwill, reputation or any type of special, indirect or consequential loss, even if such loss was reasonably foreseeable or ITF had been advised of the same.

5.2  Further, ITF shall have no liability for any death or bodily injury (except death or injury caused by the negligence of ITF or its employees), or loss of or damage to property, of anyone attending the Event pursuant to this Agreement, whether arising from such attendance, or in relation to the provision or use of the facilities at the Event. The Attendee agrees to indemnify ITF against any claim, in respect of any such liability (and the costs and expenses incurred by ITF in relation thereto).

5.3  Without prejudice to any other limitation or exclusion set out in this Agreement and to the fullest extent permitted by law, the total liability of ITF to the Attendee in contract, tort (including negligence) or otherwise (save for any liability arising from death or personal injury due to the negligence of ITF or its employees which shall be unlimited) arising in relation to the Showcase shall not exceed 50% of the total amount paid by the Attendee hereunder.

6. General

6.1  ITF reserves the right to refuse admission and to remove persons from the premises for any reason wherever necessary. ITF further reserves the right to conduct security searches to ensure the safety of persons at the Event.

6.2 ITF may record or make audio, visual or audio-visual recordings of the Event and Attendees hereby consent to the use of his or her likeness, image and/or voice within such recordings free of charge. As a condition of entry to the Event, Attendees assign the copyright in any photographs or recordings made at the event to ITF.

6.3 Views expressed by Speakers are their own and ITF accepts no liability for any loss, injury or damage, howsoever caused, to the bearer except where the loss, injury or damage is caused by the negligence of ITF.

6.4 This Agreement is made for the benefit of the parties to it and is not intended to benefit, or be enforceable by, any other person.

7. Severability

7.1 If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect, and such invalid or unenforceable provisions or portion thereof shall be deemed omitted. 

8. Entire Agreement

8.1 This Agreement constitutes the entire agreement between the parties hereto with respect to the Event and supersedes all prior negotiations, representations or agreements related to this Agreement, either written or oral.

9. Governing Law

9.1  This contract shall be governed by and construed in accordance with Scots Law and shall be subject to the exclusive jurisdiction of the Scottish courts.
